If you are entering into these terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these terms. In such cases, references to "you" mean both you individually and the entity you represent.
Searchfish™ provides SEO, AI search optimization, content strategy, keyword and authority building, web design, web property management, and custom software development services. The specific scope of services for each client is defined in a separate Statement of Work or service agreement.
We make reasonable efforts to deliver services in a professional and timely manner. However, we cannot guarantee specific rankings, citation placements, or traffic outcomes, as these are influenced by third-party platforms and algorithms beyond our control.
We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice. We will not be liable to you or any third party for any such modification, suspension, or discontinuation.
Fees for our services are outlined in your service agreement or proposal. Unless otherwise agreed in writing, invoices are due within 14 days of the invoice date. We reserve the right to pause or discontinue services on accounts with overdue balances.
For subscription-based retainer services, billing occurs monthly or annually as agreed. You authorize us to charge the payment method on file for recurring fees. You are responsible for ensuring that your payment information is current and accurate.
All fees are non-refundable unless otherwise stated in your service agreement. If you believe you have been charged in error, please contact us within 30 days of the charge and we will review your concern promptly.
All content on the Searchfish™ website, including text, graphics, logos, and software, is the property of Searchfish™ or its content suppliers and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.
Work product created specifically for you under a service agreement, such as content, reports, and custom code, is assigned to you upon receipt of full payment. We retain the right to display such work in our portfolio unless you request otherwise in writing.
You grant us a limited license to access, use, and modify your existing digital assets solely as necessary to perform the agreed services. You represent that you have the right to grant such access and that doing so does not infringe any third-party rights.
To the maximum extent permitted by law, Searchfish™ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with these terms or the use of our services.
Our total liability to you for any claim arising out of or relating to these terms or our services shall not exceed the total fees paid by you to Searchfish™ in the three months preceding the event giving rise to the claim.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In those cases, our liability will be limited to the greatest extent permitted by applicable law.
Either party may terminate a service agreement with 30 days' written notice unless a different notice period is specified in your service agreement. Upon termination, you remain responsible for all fees accrued up to and including the termination date.
We may terminate or suspend your access to our services immediately and without notice if you breach these terms, fail to pay amounts due, or engage in conduct we determine to be harmful to Searchfish™ or its clients.
Upon termination, provisions of these terms that by their nature should survive will continue to apply, including intellectual property rights, limitation of liability, and governing law.
These Terms of Service shall be governed by and construed in accordance with applicable law. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts in the jurisdiction where Searchfish™ is registered.
Before initiating any formal legal proceeding, both parties agree to attempt to resolve any dispute through good-faith negotiation. If a dispute cannot be resolved informally within 30 days, either party may pursue formal legal remedies.
If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect. The failure to enforce any right or provision does not constitute a waiver of that right or provision.
